An MBO or MBI has far-reaching consequences for the Management: in addition to its own financial commitment and the leadership of the company, Management must also address the search for capital, the level of management’s participation and critical questions about the business plan from potential investors.
As Lead Advisor PricewaterhouseCoopers will advise Management through the entire MBO process:
- Support management in preparing the business plan
- Valuing the business with financial modelling and sensitivity analyses
- Determining the optimal transaction structure
- Raising the appropriate debt and equity finance
- Support management in negotiations with vendor, investors and banks
- Reviewing the offers received
In general the parties involved in an MBO/MBI – Management / Sellers / Capital providers – do not pursue the same interests. It is one of our tasks to recognise at an early stage the different expectations and value considerations and to propose realistic solutions.
